Terms of Service

1. Acceptance and Changes

These Terms of Service (the “Terms”) are a legally binding agreement between you and Throk (“we”). They apply to every website, app, free tool and API service operated by Throk, together the “Service”. By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

We may revise these Terms from time to time and will change the “Last updated” date on this page when we do. We will let you know about material changes by email or in the app. By continuing to use the Service after changes take effect, you accept the revised Terms.

2. The Service

Throk provides data analytics, AI tools and free tools built on social media data, and programmatic interfaces for developers. What each feature does is as described in the Service and its documentation.

Third-party platform data shown in the Service comes from publicly available sources or from accounts you have authorized us to connect. Some features may vary by your region or plan. We may add, change or discontinue any feature at any time.

3. Accounts and Eligibility

• You must be at least 13 years old to use the Service
• The information you give us when you sign up must be true and accurate
• You are responsible for keeping your account and sign-in credentials secure, and for all activity under your account
• Each person may have only one free account; you may not use multiple accounts to get around usage limits
• We may suspend or terminate your account if you breach these Terms, abuse the Service or engage in fraud

4. Subscriptions, Payment, Cancellation and Refunds

• Prices, billing periods, features and usage allowances for paid plans are as shown on the pricing and checkout pages. Payments are processed by a third-party payment processor
• Subscriptions renew automatically until you cancel. You can cancel at any time; cancellation takes effect at the end of the current billing period, and you keep paid features until then
• Except where applicable law requires otherwise, fees already paid (including for partially used billing periods) are non-refundable. If you are charged twice or charged in error, email us and we will sort it out
• If we change our prices, we will tell you in advance by email or in the app. New prices apply from the next billing period after the notice, and you can cancel before they take effect
• Fees exclude any applicable taxes, which we will charge where required by law
• If a payment is declined, charged back or fraudulent, we may suspend or terminate the related account
• Any trial or promotion is subject to the special terms shown on its campaign or checkout page

5. Credits

• Some features are metered in credits. How credits are used, and their allowances, reset periods and expiry, are as shown in the Service, on the pricing page or in related documentation, and we may change them from time to time
• Unless stated otherwise, unused credits do not roll over and expire when your subscription ends, and credits from different plans or products cannot be used interchangeably
• Credits have no cash value and cannot be transferred, redeemed for cash or refunded

6. AI Features and Third-Party Models

Our AI features are powered by third-party AI model and service providers, and may use other third-party tools or services to complete your requests. When using AI features, please note:

• AI-generated content is for reference only and may be inaccurate, outdated or incomplete
• Your queries are sent to third-party AI providers for processing, so do not include sensitive personal information in them
• We do not guarantee that AI responses are accurate, complete or fit for purpose; verify AI-generated content yourself before you publish or rely on it
• Features you set to run automatically run as you configured them and may use credits; you can turn them off at any time
• The availability and quality of AI features may vary with third-party services
• AI-generated content is not professional advice, and similar inputs may produce similar outputs for different users

7. Data Sources, Account Tracking and Data Completeness

You can add Threads accounts (your own or public third-party accounts) to the Service for tracking. The data the Service provides comes from publicly available third-party platform data. Regarding its completeness and accuracy, please note:

• All displayed and exported data comes from third-party platforms and is not created or controlled by Throk
• We cannot guarantee that data is complete; some content may be unavailable because of third-party platform restrictions, privacy settings or technical limits
• How current the data is depends on the third-party platform, so it may not be real-time
• Changes to a third-party platform’s policies, technology or data availability may delay, degrade or interrupt some features, and we are not liable for this
• We do our best to keep data accurate, but we are not liable for any omissions, errors or gaps. Before using export features, you should understand and accept this limitation

8. Connecting Threads Accounts and Publishing on Your Behalf

If you connect your Threads account to the Service through Meta’s official authorization flow, the following also apply:

• You may only connect accounts you own or are authorized to manage, and you must follow Meta’s and Threads’ terms of use and community guidelines
• Content published, scheduled or replied through the Service (including content drafted with AI help) is posted on your instruction, and you are fully responsible for it
• Publishing and data features rely on the Threads API. If Meta changes, restricts or discontinues the API or its permissions, some features may be delayed, fail or stop, and we are not liable for this
• You can disconnect at any time; once you do, scheduled posts that have not been published will not be published

9. Free Tools

Our free tools are provided “as is”, for personal reference and entertainment only:

• Tool results are estimated from public data or models and do not represent official data or our views
• You may only download or use content you have the right to use, and you bear all responsibility (including copyright liability) for downloading, storing or reusing it
• Free tools may show ads, and we may limit, change or discontinue them at any time

10. Developer Interfaces

If you use our developer API or other programmatic interfaces, the following also apply:

• API keys and other access credentials are confidential; keep them safe and do not share or transfer them
• You may integrate API data into your own applications or internal workflows, but you may not resell the raw data, redistribute it at scale, or use it to build a database or service that competes with the Service
• You may not get around rate limits, credit metering or other technical limits
• You must make sure any endpoint that receives data from us is under your control and properly secured; we are not liable for data lost because an endpoint is misconfigured or unreachable
• We may adjust rate limits and API specifications, and may suspend or revoke an API key that is being abused

11. Acceptable Use

When using the Service, you agree not to:

• Use the Service for any illegal or unauthorized purpose
• Access, scrape or copy the Service’s content or data with crawlers, bots or other automated means, other than through the official API
• Reverse engineer or decompile the Service, or try to obtain its source code
• Get around, break or interfere with the Service’s security measures, usage limits or billing
• Resell, rent or sublicense the Service (unless we agree in writing)
• Use the Service to post spam, harass others or impersonate anyone, or use AI-generated content to spread misinformation, hate speech or other unlawful content
• Use the Service to track, monitor or profile specific individuals for harassment, discrimination or other improper purposes
• Interfere with or disrupt the normal operation of the Service, or place an unreasonable load on our systems
• Help anyone else do any of the above

12. Intellectual Property and Your Content

The Service (including its original content, features, interface design and trademarks) is owned by or licensed to Throk and protected by intellectual property laws. Except as expressly granted in these Terms, we grant you no other rights.

You keep your rights in the content you submit (such as AI queries, uploaded files and drafts), and you grant us the limited license we need to provide and improve the Service. We may freely use any feedback or suggestions you give us about the Service without paying you.

Third-party content shown through the Service (including Threads posts, profile pictures and usernames) belongs to its respective owners, and we claim no ownership of it.

13. Third-Party Content and Removal Requests

Third-party platform content shown in the Service is quoted and analyzed from publicly available data. If you own the rights to such content or it concerns you, and you believe it infringes your rights or want data about you removed, email team@throk.ai with enough information to identify the content. We will review and handle your request within a reasonable time, and we reserve the right to decide whether to remove any content.

14. No Affiliation with Meta or Threads

Throk is an independent third-party service and is not affiliated with, sponsored by, endorsed by or partnered with Meta Platforms, Inc. or Threads. Threads and related trademarks belong to their respective owners and are used in the Service for identification only.

15. Disclaimer

To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted operation. No data, analysis, forecast or AI-generated content provided by the Service is professional, investment or business advice.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Throk is not liable for any indirect, incidental, special, consequential or punitive damages (including loss of profits, goodwill or data) arising from your use of or inability to use the Service, including but not limited to losses caused by incomplete, inaccurate or missing data, or by errors in or misuse of AI-generated content.

17. Indemnity

If a third party brings a claim against us because you breached these Terms, abused the Service, or infringed any third party’s rights through your use of the Service (including content you published through the Service and your use of exported data or AI-generated content), you agree to indemnify us for the resulting losses, liabilities and reasonable costs (including legal fees).

18. Changes, Suspension and Termination of the Service

We reserve the right to change, suspend or discontinue all or part of the Service at any time. For material changes that affect paid features, we will make reasonable efforts to give advance notice. You can stop using the Service and delete your account at any time.

If you breach these Terms, we may suspend or terminate your account without refund, and unused credits in an account terminated for a breach will not be compensated.

19. Governing Law and Jurisdiction

These Terms are governed by and construed under the laws of Hong Kong, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Service is subject to the exclusive jurisdiction of the courts of Hong Kong.

20. General

• Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and us about the Service
• Severability: If any provision of these Terms is held invalid, the remaining provisions stay in effect
• No waiver: Our failure to enforce any provision is not a waiver of that or any other provision
• Assignment: You may not transfer your rights or obligations under these Terms without our written consent; we may transfer these Terms in a merger, acquisition or asset transfer
• Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control (including outages of third-party platforms or infrastructure)
• Language: These Terms are made in Chinese. Any translation, including this English version, is for reference only, and the Chinese version prevails
